In 2026 you can register an LLC (OOO/MChJ) in Uzbekistan online through the Single Portal of Interactive Public Services (my.gov.uz) or in person at a Public Services Center. Under the official procedure, registration happens in real time and takes no more than 30 minutes, and the state fee is 1 BRV — UZS 440,000 at the BRV in force from 1 September 2026; if you file yourself through the portal, you pay 90% of that, i.e. UZS 396,000. You will need the founders' e-signatures (EDS), a charter, and details of the director and address. A new Law "On Limited Liability Companies" has applied since 22 July 2026, so draft the founding documents under it from the start.

What changed for LLCs in 2026

Law No. ZRU-1137 of 21.04.2026 "On Limited Liability Companies" took effect on 22 July 2026. Several rules matter when you open a company:

  • Number of participants — no more than 50. If there are more, the company must convert into a joint-stock company or a production cooperative within a year.
  • Sole participant. The sole participant of an LLC cannot be another company consisting of one person (except a joint-stock company with a single shareholder).
  • Charter capital. The law sets no single minimum for all LLCs; a minimum may be set by licensing requirements for specific activities.
  • Payment deadline for contributions is set in the founding documents but cannot exceed one year from state registration.
  • Participants' liability is limited to the value of their contributions to the charter capital; the company itself is liable for its obligations with all its property.

Step-by-step LLC registration via my.gov.uz

  1. Get an e-signature. Documents are filed electronically. If any founders are foreigners, their EDS is mandatory; if there are several founders, each confirms consent in the registration system.
  2. Choose a name. The name is chosen in Latin script and the system checks it for identity with existing names. The chosen name is held for the applicant for 60 calendar days; this can be extended up to 12 months by paying a fee of 1 BRV.
  3. Prepare the founding documents. The law defines the founding documents as the founders' agreement and the charter. The founders' agreement sets out the founders, the amount of charter capital and how contributions are made; it is not subject to state registration. The charter is registered and must contain the full and short name, business purpose, postal address and other details listed in Article 14 of the law. Founding documents are attached in the state language.
  4. Fill in the application. Among other things, the application lets you opt into voluntary VAT registration right away — decide this in advance (see the first-month section).
  5. Pay the fee. The system calculates the amount itself; you can pay by bank card online, at a bank cash desk or from a bank account. If registration is refused, the fee is not refunded except for any overpayment.
  6. Receive the certificate. If registration was refused, a repeat review after the reasons are fixed takes no more than four working hours.
  7. Open a bank account — see below.

The 1 BRV fee is the same for legal entities and enterprises with foreign investment when registering through Public Services Centers. Special rules apply to certain activities (banks, insurers, licensed sectors) — check them before filing.

Charter capital: how much and how to pay it

The founders decide the amount of charter capital unless a licensing minimum applies to the activity. Contributions can be made in money, securities, other property or property rights; work and services cannot be contributed. If a non-cash contribution is worth more than 10,000 BRV, it must be valued by an independent appraiser. Shares are paid at no less than their nominal value.

If a participant does not pay their share on time, the unpaid part passes to the company and the participant's vote is limited to the paid part. In the books, charter capital is recorded at the amount stated in the charter, and the founders' unpaid contributions are tracked separately until fully paid — this is the first thing a new company's accountant checks.

Bank account and the company e-signature

After registration the company goes to a bank. Originals or copies of the certificate and founding documents are not required to open an account: banks may open accounts remotely, and the contract is concluded by accepting an offer in the system. Specimen signatures and the document on the person authorised to sign payment documents can be given to the bank at any time before the first payment.

The director's EDS is needed beyond registration: it is used to sign electronic invoices, log in to the taxpayer's personal cabinet, file reports and register employment contracts. If an external specialist keeps your books, arrange a separate EDS or a power of attorney rather than handing over the director's key.

What to set up in accounting in the first month

  • Tax regime. A small business may pay turnover tax at the base rate of 4% with turnover up to 12,000 BRV (about UZS 5 billion, threshold from 1 June 2026) or use the general regime: VAT at 12% and profit tax at 15%. The choice depends on your customers and margin — see "Turnover tax or VAT".
  • Accounting policy and working chart of accounts — approved by an order of the director. What to include is covered in our article on accounting policy.
  • Electronic invoices. Connect to an e-invoice operator and agree on document flow with suppliers.
  • Cash register. If you accept payments from individuals, you need an online cash register or virtual cash register whose model is in the State Register.
  • Staff. Employment contracts with the director and employees are registered in the Unified National Labour System (my.mehnat.uz) — more in our article on HR records.
  • Reporting calendar. Monthly reports start from the first month of operations, even with no revenue. The full year's sequence is in the first-year checklist.
